Capex provides an AI-enhanced investment banking platform for mergers and acquisitions transactions. Given the sensitive nature of M&A transactions, we are committed to protecting the privacy and confidentiality of all information processed through our platform. This Privacy Policy explains our data practices and your rights regarding your personal information.

2. INFORMATION WE COLLECT

2.1 Information You Provide

(a) Account Information: name, email address, phone number, role (seller, buyer, or advisor), and password;
(b) Profile Information: company name, job title, professional background, and avatar photo;
(c) Business Information: company financials, revenue data, EBITDA figures, industry classifications, business descriptions, and other information submitted during the deal onboarding process;
(d) Transaction Information: deal terms, offers, letters of intent, engagement letters, NDAs, and other transaction documents;
(e) Communications: messages, notes, and other communications sent through the platform;
(f) Documents: files uploaded to the virtual data room, including financial statements, contracts, and other business records.

2.2 Information We Collect Automatically

(a) Usage Data: pages visited, features used, actions taken, timestamps, and session duration;
(b) Device Information: browser type, operating system, device identifiers, and screen resolution;
(c) Log Data: IP addresses, access times, referring URLs, and error logs;
(d) Cookies and Similar Technologies: as described in Section 9 below.

3. HOW WE USE YOUR INFORMATION

We use your information for the following purposes:

(a) Providing and maintaining the Services, including account management, deal facilitation, and communication features;
(b) Processing and facilitating M&A transactions between parties;
(c) Generating AI-powered analyses, documents, and assessments;
(d) Communicating with you about your account, transactions, and the Services;
(e) Sending transaction-related notifications, including deal stage updates, document reviews, and meeting reminders;
(f) Improving, personalizing, and optimizing the Services;
(g) Ensuring the security and integrity of the Services;
(h) Complying with legal obligations and enforcing our Terms of Service;
(i) Responding to your requests, inquiries, and support needs.

4. HOW WE SHARE YOUR INFORMATION

4.1 With Transaction Parties. We share relevant information between parties involved in a transaction (sellers, buyers, and advisors) as necessary to facilitate the M&A process. Information sharing is controlled by deal stage, NDA execution, and data room access permissions.

4.2 With Service Providers. We share information with third-party service providers who assist us in operating the Services, including:

(a) Cloud infrastructure and hosting providers;
(b) Database and storage services;
(c) Email delivery services;
(d) Authentication and security services;
(e) Analytics providers.

These service providers are contractually obligated to use your information only for the purposes of providing services to us and to maintain appropriate security measures.

4.3 For Legal Compliance. We may disclose your information if required to do so by law, regulation, legal process, or governmental request, or if we believe disclosure is necessary to protect the rights, property, or safety of Capex, our users, or others.

5. AI PROCESSING

5.1 Our Services use artificial intelligence, including large language models, to process business information and generate analytical outputs. This processing includes:

(a) Analyzing financial data to produce valuation estimates;
(b) Generating marketing materials such as confidential information memoranda and teaser profiles;
(c) Assessing buyer-seller compatibility and fit;
(d) Evaluating offers and transaction terms;
(e) Producing market analyses and industry comparisons.

5.2 Data Anonymization. When processing information through AI systems, we take steps to anonymize sensitive business information where appropriate. Company names and identifying details may be replaced with generic references during AI processing to protect confidentiality.

5.3 Human Review. AI-generated outputs are subject to human review by authorized advisors before being shared with transaction parties or used in connection with any transaction.

5.4 Third-Party AI Services. We use third-party AI services (including Anthropic's Claude) to process information. Information sent to these services is subject to their respective privacy policies and data processing agreements. We select AI providers that maintain appropriate data security and do not use customer data to train their models.

6. DATA SECURITY

6.1 We implement appropriate technical and organizational security measures to protect your information against unauthorized access, alteration, disclosure, or destruction. These measures include:

(a) Encryption of data in transit and at rest;
(b) Role-based access controls and authentication;
(c) Regular security assessments and monitoring;
(d) Secure document storage with signed access URLs;
(e) Session management and automatic timeout.

6.2 While we strive to protect your information, no method of transmission over the internet or method of electronic storage is completely secure. We cannot guarantee absolute security of your information.

7. DATA RETENTION

7.1 We retain your personal information for as long as your account is active or as needed to provide the Services.

7.2 Transaction-related data, including deal records, documents, and communications, is retained for a minimum of seven (7) years following the completion or termination of a transaction, as required by regulatory and compliance obligations.

7.3 We may retain certain information as necessary to comply with legal obligations, resolve disputes, and enforce our agreements.

7.4 When information is no longer needed, we delete or anonymize it in accordance with our data retention policies.

8. YOUR RIGHTS

Depending on your jurisdiction, you may have the following rights regarding your personal information:
